It's all powder coated steel with no drain holes. I would say yes, it would rust outside. I would bet the crossbar screw would be the first thing to rust. I'm sure the padding would get destroyed pretty quickly as well.

Does the padded "seat" rise?

No. It keeps your center of gravity where it wants it. Change it and you could flip
